Your role and responsibilities
Provides end-to-end legal & contract management services to the ABB PAPI North American operating unit including Canada. Reviews and negotiates contracts, drafts commercial agreements and other contractual terms in collaboration with relevant business stakeholders and L&I team members and oversees contract management. Provides L&I related advice and acts as a business partner and advisor to the business stakeholders. Monitors legal affairs, including but not limited to litigations and reporting and occupies a seat at the table on local strategic business matters. Ensures good corporate governance (including structuring, drafting, and negotiation) in their area of accountability where required with respect to Mergers & Acquisitions (M&A)/divestiture and investment transactions. Counsels the management and business teams on legal risks associated with their strategy, plans or decisions and on the business impact of the changes/amendments in law from time to time. Responsible for handling major legal tasks involving problems of recognized complexity and ambiguity in facts, using their legal judgment and experience, and independent reasoning. Supports anticipating future business and legal opportunities and challenges and develop appropriate strategies to address them. Identifies risks, external threats, and opportunities to the company, proactively and proposes appropriate strategies. Monitors Intellectual Property (IP), through taking advice and guidance on IP matters and working with stakeholders from the IP function. Contributes to effectively grow and managing the Annual Performance Plan (APP) and controls outside counsel expenditures.
Qualifications for the role
- Law degree LLB (Canada) strong common law experience.
- Member of Quebec Bar or member of another Canadian province Bar.
- 5-7+ years post qualification experience practicing commercial law, either as a private practice associate or as an in-house legal counsel.
- Strong communication skills in both French and English. French is required. English is required to communicate with customers outside Quebec on a regular basis. Ability to communicate in Spanish would be an asset.
- Strong drafting and negotiation skills and ability to work in a complex international environment.
- A U.S. bar membership or cross-training and experience with US law would be an advantage.
- Ability to work independently with limited supervision is required.
- Must be well-organized and able to manage multiple assignments simultaneously under deadline pressure in a fast paced environment.
- Experience with projects related contracts, intellectual property, digital environments, and data privacy is highly desired.
- Candidates with a practical mind-set, who have a proactive “hands-on” attitude, exposure to cross country collaboration, and experience in a multicultural environment are desired.
- The capability to be flexible and adaptable in a changing and challenging environment and think ‘out of the box’ when unexpected/unplanned events arise, together with the capacity to solve practical problems and deal with a variety of concrete variables within a robust compliance framework where only limited standardization may exist, will be a key to success in this role.
- This role will report to the ABB Process Automation Regional General Counsel for North and South America. The position will be based in Montreal, and the successful candidate will be expected to work from the office in Montreal on a regular basis. Some travel, including outside of Canada, may be required.
