Job Description
Ares is seeking a detail-oriented Paralegal to support the Firm’s corporate governance, entity management, and regulatory compliance functions. This role is ideal for a candidate with foundational corporate paralegal experience who is looking to develop expertise in a sophisticated, fast-paced legal environment.
The Paralegal will work closely with attorneys and senior paralegals to assist with public company reporting, board governance, entity maintenance, and transactional support. The role requires strong organizational skills, attention to detail, and the ability to manage multiple priorities effectively.

Key Responsibilities
Corporate Governance & Board Support
Assist in the preparation of board and committee materials, including agendas, resolutions, and minutes
Support coordination of board meetings and maintenance of board portals
Maintain corporate records, minute books, and governance documents
Assist with director and officer onboarding and annual questionnaires
Public Company & SEC Support
Support preparation and filing of certain aspects of SEC reports (Forms 10-K, 10-Q, 8-K, proxy statements)
Assist with EDGAR filings and maintenance of EDGAR access codes
Coordinate documentation requests for audits and internal reviews
Section 16 & Insider Compliance
Assist with preparation and filing of Forms 3, 4, and 5
Maintain Insider Tracking Lists and Compliance Calendars
Support administration of 10b5-1 trading plans
Entity Management
Maintain corporate entity database, structure charts, and compliance calendars
Assist with entity formations, dissolutions, and state filings
Support ongoing compliance for domestic and international subsidiaries
Equity Administration Support
Assist with equity plan administration, including tracking vesting and exercises
Coordinate with HR, Finance, and third-party administrators
Maintain internal equity records and documentation
Transactions & Legal Support
Assist with due diligence and document organization for M&A and financing transactions
Support execution and tracking of NDAs and standard agreements
Maintain organized, audit-ready legal files
Regulatory & Compliance Support
Assist with KYC/AML requests, due diligence questionnaires, and regulatory filings
Prepare organizational charts and basic ownership summaries
Qualifications
Required
Bachelor’s degree
3-5 years of corporate paralegal or related legal experience
Basic understanding of corporate governance and entity management
Strong organizational skills and attention to detail
Ability to manage multiple tasks and meet deadlines in a fast-paced environment
Proficiency in Microsoft Office (Word, Excel, PowerPoint)
Strong sense of professional ethics, integrity, and accountability in handling confidential and high-stakes matters
Preferred
Exposure to public company reporting or SEC filings
Experience with legal or entity management systems (e.g., Diligent, Workiva)
Paralegal certificate or equivalent training
Notary Public (or willingness to obtain)

The anticipated base salary range for this position is listed below. Total compensation may also include a discretionary performance-based bonus. Note, the range takes into account a broad spectrum of qualifications, including, but not limited to, years of relevant work experience, education, and other relevant qualifications specific to the role.
$100,000-$120,000
