Join us as a Vice President, Capital Markets Advisory Lawyer. In this role, you will provide legal and regulatory advisory support to the Investment Banking division across debt capital markets transactions, including investment grade and high yield securities issuances, and fixed income syndicate activities. You will partner closely with bankers, syndicate, research, and business stakeholders to advise on securities law matters, debt offerings, transaction execution, and strategic capital markets initiatives. This opportunity is ideal for a transactional attorney with strong securities law and capital markets experience who can independently manage complex matters in a fast paced, high performing environment.
To be successful as a Vice President, Capital Markets Advisory Lawyer, you should have:
A deep knowledge of legal and regulatory matters relating to debt capital markets transactions, including US securities laws and broker-dealer regulation applicable to the underwriting and distribution of securities issuances
Knowledge of the structure, documentation and disclosure and diligence practices relating to investment grade and high yield securities issuances, commercial paper and medium-term note issuances and fixed income syndicate transactions
Experience with the review, drafting and negotiation of documentation relating to debt offerings and capital markets transactions, including public offerings, private placements and liability management transactions

Ability to independently manage complex legal matters and lead projects across internal stakeholders, including front office stakeholders, Compliance and other risk management functions
Contract negotiation, analytical, and problem-solving skills
Experience partnering with cross functional stakeholders in a fast-paced, cross-border investment banking environment

This role is located in New York.
Minimum Salary: $280,000
Maximum Salary: $311,000
The minimum and maximum salary/rate information above include only base salary or base hourly rate. It does not include any other type of compensation or benefits that may be available.
Purpose of the role
To ensure that activities of the investment banking division are conducted in compliance with applicable laws, rules and regulations, and to help the bank manage legal and reputational risks associated with these activities.
Accountabilities
- Development and implementation of best practice legal strategies to manage risk related to non-adherence to laws, rules and regulations. .
- Legal advice and support to the bank's investment banking division on legal matters including mergers and acquisitions, securities offerings, lending and other corporate finance transactions.
- Subject matter support in the Legal department’s representation of the bank in legal proceedings related to investment banking activities, such as litigation, arbitration, and regulatory investigations.
- Creation and/or review of legal documents for the investment banking division to ensure the bank’s adherence with applicable laws, rules and regulations. Maintaining and updating form legal documentation for the investment banking division.
- Legal research and analysis to stay up to date on changes in laws, rules and regulations that may impact the bank's investment banking activities.
- Developing and delivering training programmes to educate employees on legal and regulatory requirements related to the investment banking activities.
- Act as legal advisor to the Investment banking transaction approval committees on laws, rules and regulations.
- Pro-active identification, communication, and provision of legal advice on applicable laws, rules and regulations (LRRs). Keeping up to date with regards to changes to LRRs in the relevant coverage area. Ensuring that LRRs are effectively allocated to, and adequately reflected within, the relevant policies, standards and controls.
