The Opportunity
At EY-Parthenon, we combine strategy, transactions and corporate finance to support investors, corporates and governments on their most critical decisions.
Our Transaction Diligence team plays a central role in M&A processes, supporting clients on acquisitions, disposals and strategic investments through detailed financial analysis and clear, actionable insights.
We are seeking experienced Financial Due Diligence professionals at Manager level who can lead engagements, manage teams and take ownership of client relationships across multiple concurrent transactions.
Your Key Responsibilities
As a Manager, you will take end-to-end responsibility for the delivery of financial due diligence engagements, including:
Engagement Delivery & Leadership
- Lead financial due diligence engagements (buy-side, sell-side and vendor assistance), from planning through to reporting
- Define scope, manage timelines and coordinate multi-disciplinary input across tax, strategy and other workstreams
- Take overall responsibility for quality of deliverables, ensuring outputs are clear, concise and tailored to investor decision-making
Technical Oversight
- Oversee and review key diligence analyses, including:
- Quality of earnings and EBITDA normalization
- Working capital analysis and target setting
- Net debt and debt-like items
- Cash flow, liquidity and funding requirements
- Provide clear insights on key deal issues, including risks, upsides and transaction structuring considerations
- Challenge management assumptions and assess the robustness of forecasts and business plans
- Translate detailed analysis into commercial conclusions and negotiation points
Client Management
- Act as a primary day-to-day contact for clients, including private equity and corporate investors
- Lead management meetings, Q&A processes and data room interactions
- Present findings and recommendations to senior stakeholders, including investment committees where relevant
- Build and maintain trusted client relationships, contributing to repeat business
Team Leadership & Development
- Manage and coach Senior and junior team members, providing clear direction and technical guidance
- Review workstreams and ensure delivery quality and consistency across multiple engagements
- Support team development through on-the-job coaching and structured feedback
Business Development
- Support and lead elements of proposals, pitches and client pursuits
- Identify opportunities for cross-selling within EY-Parthenon and broader EY
- Contribute to the growth of the Transaction Diligence practice, including thought leadership and market positioning
Skills / Attributes for Success
Core Experience (critical)
- 6–8+ years of relevant experience, with a strong focus on financial due diligence
- Proven track record of leading FDD engagements, ideally within a Big 4 or transaction advisory environment
- Extensive experience in:
- Buy-side and sell-side transactions
- Managing multiple deals simultaneously
- Direct client interaction at senior levels
Technical & Commercial Expertise
- Deep understanding of:
- Deal mechanics (EV to equity bridge, working capital, net debt adjustments)
- Financial statement analysis in a transaction context
- Strong ability to identify key value drivers and risks in complex businesses
- Ability to convert analysis into clear commercial insight and negotiation points
Leadership & Communication
- Strong team leadership and project management skills
- Excellent written and verbal communication, including report writing and presenting to senior stakeholders
- Ability to operate with high levels of autonomy and accountability
Working Style
- Comfortable operating in fast-paced, high-pressure transaction environments
- Able to balance multiple deadlines and competing priorities
