Offering Team sits within IB and plays a critical role in supporting origination of offering/financing transactions with primary coverage bankers, driving deal execution, managing transaction processes, and ensuring disciplined documentation and internal committee processes across live transactions.

Role Overview

Vice President of the Offering Team will be a senior origination support and execution professional responsible for end‑to‑end transaction execution, with a particular focus on documentation, legal process management, and coordination with internal and external stakeholders. This role acts as a central point of accountability during execution, working closely with IB coverage and Capital Solutions Group’s product teams, external legal counsel, clients, and internal control functions to ensure transactions are executed efficiently, accurately, and in line with firm standards.

Key Responsibilities

Support Origination of Offering/Financing Transactions

  • Support coverage bankers to originate equity, equity-linked and debt offering / capital markets transactions
  • Support coverage bankers for client coverage in terms of pitches and executions
  • Lead day‑to‑day execution of equity, equity-linked, debt, and other capital markets transactions
  • Own transaction timelines, execution checklists, and deliverables from signing through closing
  • Act as the primary execution counterpart to clients externally and coverage bankers internally during live deals

Transaction Execution & Process Leadership

Due Diligence, Documentation & Legal Management

  • Lead due diligence related to all the financing transactions coordinating with clients, coverage, product bankers, auditors and external/internal legal counsels
  • Drive drafting, review, and negotiation processes for key transaction documents (e.g. underwriting agreements, comfort letters/CFO certificates, disclosure documents such as the offering circular)
  • Coordinate closely with internal and external legal counsel as well as internal compliance team, ensuring documentation aligns with commercial intent, regulatory requirements, and firm policies
  • Manage document workflows, version control, and execution logistics (signing, closing mechanics, conditions precedent)

Stakeholder Coordination

  • Serve as the central point of coordination across internal teams (coverage, product, risk, compliance, operations) and external parties (clients, lawyers, counterparties)
  • Proactively escalate risks, execution issues, or timing concerns to senior stakeholders with clear recommendations

Internal Committee Processes

  • Lead drafting internal committee memorandum, posting the key committee members and explaining to the

Leadership & Mentorship

  • Provide guidance and oversight to Associates and junior team members on execution and documentation matters
  • Act as a role model for execution excellence, attention to detail, and professional judgment

Qualifications & Experience

Required

  • Significant experience (typically 8 plus years) in investment banking, legal counsels, corporate treasury and/or CFO’s office functions
  • Strong communication skills
  • Strong teamwork spirits
  • Strong hands‑on experience leading transaction execution and managing legal documentation for complex deals
  • Deep understanding of transaction processes, legal frameworks, and market practice
  • Proven ability to manage multiple stakeholders and workstreams under tight deadlines
  • Strong judgment, attention to detail, and ownership mindset

Preferred

  • Experience working closely with external legal counsel and negotiating transaction documentation
  • Familiarity with Japan market transactions and cross‑border deal execution
  • Prior experience mentoring or managing junior team members
