Description and Requirements

What you will do:


1. Entity Management & Governance (Europe, META & Ireland Focus)

  • Serve as the primary company secretarial and governance lead for all Europe and META legal entities, providing expert guidance on governance, compliance and corporate structure matters.
  • Take full, hands-on responsibility for the company secretarial function of Irish entities.
  • To provide advice and support to the boards of directors and senior management for Europe and META entities on governance, compliance, and statutory obligations.

2. Board & Committee Support

  • Organize, coordinate, and minute all board meetings for key Europe and META entities.
  • Prepare board packs, agendas, resolutions, and maintain official corporate records.

3. Compliance & Regulatory Leadership

  • Lead and ensure timely compliance with all statutory, regulatory, and filing requirements under the Irish Companies Act and relevant legislation in other Europe and META jurisdictions.
  • Liaise with and manage external advisors, legal counsel and regulatory bodies.
  • Lead or contribute to strategic initiatives, including post-acquisition integrations, restructurings, and process improvement projects to enhance the efficiency and effectiveness of the corporate secretarial function.

What you will bring:

  • Degree holder and a Qualified Company Secretary (ICSA/Chartered Governance Institute or equivalent)
  • Minimum 8 years of corporate secretarial experience in multinational corporations
  • Strong expertise in Irish company law and broader regulatory environment
  • Proven experience overseeing governance for multiple entities across various jurisdictions
  • Solid track record in advising senior management, executives and board members
  • Familiarity with entity management systems and digital governance tools
  • Proficient in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook)
  • Knowledge of company secretarial software (e.g., Blueprint, Diligent)
