We are looking for a Director of Global Stock Operations to lead the team supporting the design, implementation, and day-to-day operations of Netflix’s stock programs. The ideal candidate not only has a strong global equity administration and compliance background but is also someone who is able to adapt their extensive experiences to Netflix’s unique approaches to equity compensation and our culture.
The Responsibilities:
Lead and coach the global Stock Operations team to continue to meet the evolving needs of Netflix and our increasingly diverse workforce.
Oversee the administration of the Netflix Stock Option Program (SOP) including grants, exercises, facilitating accurate and timely payroll reporting/withholding, and settlements of stock, working closely with internal and external partners such as accounting, payroll, legal counsel, brokerage firms, transfer agents, and our employees.
Oversee the administration of Netflix’s NEO equity compensation plans, including the full life cycles of RSU and PSU awards.
Ensure compliance with equity-related regulatory requirements, such as tax withholding and reporting, data privacy, and securities and labor law, across Netflix entities worldwide.
Understand, maintain documentation, and operationalize the tax and reporting requirements related to non-US stock grants and exercises including international and domestic transfers, short-term assignments, business travelers, and remote workers.
Manage and design workflows and systems that maximize efficiencies in stock operations, ensure data integrity, and streamline reporting, which is necessary for compliance and business decision-making.
Own all elements of the employee education program around our equity programs, including annual enrollment and new hire onboarding.
Partner with cross-functional teams, including Employment Tax, Payroll, Finance & Accounting, Compensation, Global Mobility, Talent Analytics, Employee Technology, Legal, Treasury, and Employee Services, with a proactive focus on ensuring critical stock program requirements are considered early and often throughout cross-functional initiatives.
Oversee the 10b5-1 Trading Program(s) and serve as a focal point between the participants, brokers, and Legal to ensure final execution and compliance.
Serve as the primary point of contact for Section 16 officers and directors to support SEC reporting and compliance, including Edgar Next onboarding and the filing of Forms 3, 4, and 5.
Provide subject matter expertise input to Netflix's continued evolution of equity programs as we grow as a company.
Responsible for SOX controls, narrative, and Bi-annual walkthroughs to ensure accurate and timely processing of equity awards.
Own our 3rd party advisor/vendor relationships, including law firms and brokers.
Desired skills and background:
10+ years of relevant experience in global equity administration with a variety of equity program types, with proven team leadership experience.
Working understanding of US GAAP accounting principles, IRC section 409A, and equity valuation models.
Strong knowledge of domestic and international equity legal and tax compliance and reporting requirements.
Able to function in a fast-paced environment, manage competing priorities, and navigate areas of uncertainty.
Able to work independently, and effectively manage people and processes.
Customer-focused mindset, with an adaptable working style to build strong and trusted relationships at every level of the company up to C-suite and Board of Directors.
Experience with Workday, Etrade, and Equity Edge Online.
Certified Equity Professional accreditation is preferred.
To be successful:
You are passionate about providing extraordinary employee experiences.
You will have a deep curiosity, a passion for technology to support efficiency and scale, and the ability to manage highly impactful projects.
You love motivating teams by empowering them and providing context/feedback. You are also open to feedback to help you adapt to the unique Netflix culture and our approach to equity programs. This role won’t be a plug-and-play version of a similar role at other companies.
You take pride in creating simple and scalable administrative solutions.
You are data-driven, analytical, and quick to learn.
You have exceptional written and verbal communication skills and can adapt your communications clearly to the intended recipient.
You can work with ambiguous requirements, which doesn’t prevent you from achieving the best outcomes.
You can challenge the team on technical decisions and architecture.
You rapidly and eagerly identify gaps in processes and construct long-term solutions while minimizing complexity.
Our compensation structure consists solely of an annual salary; we do not have bonuses. You choose each year how much of your compensation you want in salary versus stock options.
