Job Description:

The Role

This is a full-time role based in our Luxembourg office. As Corporate Secretary Associate, you will be an integral part of the Luxembourg Team which is responsible for the ongoing oversight of the Luxembourg entities holding and financing investments across multiple strategies and jurisdictions.

Core Responsibilities

  • Plan and coordinate the Board meeting process from A to Z following best corporate governance practices
  • Attend, manage and document Board meetings covering investment decisions, cash repatriations and approval of accounts throughout Sixth Street’s various platforms
  • Review, prepare and present information during quarterly board meetings
  • Draft accurate and complete board meeting minutes and ensure timely delivery of final minutes.
  • Follow up on any action items arising from board meetings
  • Ensure timely preparation of PoA’s, board and shareholder resolutions, etc.
  • Support European investment origination activities, including deal closings and investment team support
  • Manage the entire lifecycle of an entity, including, but not limited to, incorporations, dissolutions, AGMs, EGMs and any ad hoc company secretarial items such as changes to share capital and directors.
  • Ensure accuracy, completeness and real-time maintenance of all corporate records/files (physical and electronic versions) and entity management in master databases, including coordination with other offices and third parties.
  • Assist with KYC/AML processes as and when necessary
  • Manage accounts payable process with third party vendors and central accounts payable processing, assist the bank transfer and cash management process,
  • Ensuring that the documentary support is prepared on a timely basis
  • Understand the underlying investment structures and deals
  • Assist with the entity audit process
  • Monitor entity compliance across portfolio including statutory and regulatory filing requirements, including annual accounts and other corporate filings
  • Oversee third party vendors and ensure high-quality deliverables.
  • Develop/Maintain task tracking systems to ensure timely completion of tasks
  • Ensure that all documents are properly executed in accordance with Sixth Street’s execution procedures and thereafter stored.
  • Proactively develop and maintain efficient internal controls and business processes
  • Participate in ad-hoc special projects

  • 5 years’ experience in Luxembourg in Corporate Secretarial functions ideally in (a combination of) service providers or asset management firms
  • Strong knowledge of Luxembourg corporate and fund regulations

  • Structured problem solver able to synthesize sophisticated information from a variety of sources into implementable recommendations and solutions
  • Ability to collaborate effectively across multiple teams
  • Proficiency in board management tools (Diligent, Board Intelligence, Docify) would be an advantage but not required
  • Strong prioritization and project management skills
  • Comfort working in a high growth, iterative environment

Required/preferred

  • Fluency in English required, French/German would be an asset
  • ICSA qualifications (ongoing) would be an advantage but not required
