Position Summary
Responsibilities
- Maintains equity plan administration processes and procedures, including updating policies, guidelines, processes and workflows related to timely reporting, financial compliance, governance, participant communication and other necessary documentation
- Maintains SOX documentation for various share related processes
- Provides support for the preparation of SEC Reports related to Carlyle’s Section 16 officers
- Assists with annual 10-K filing and Proxy
- Prepares quarterly RSU budget for RSU grant approval meetings
- Processes quarterly dividends and Dividend Equivalent Units (DEUs)
- Monitors and updates post-vesting share retention requirements for participants
- Prepares RSU grant agreements and delivery of grant communications
- Works closely with Global Employment Tax team on quarterly RSU vestings
- Carlyle’s subject matter expert on Morgan Stanley’s reporting system (Morgan Stanley at Work)
- Processes vendor invoices
- Monitors daily data integration to Morgan Stanley and troubleshoots errors
- Updates various internal trackers
- Assists in preparing and posting documents to the LP Reporting System
- Oversees residual tasks related to the former Carlyle Holdings Units
- Participates in weekly calls with Morgan Stanley and assists with monitoring the status of participant Morgan Stanley investment accounts
- Reviews new hire and termination agreements to ensure RSUs are issued and/or are vested/forfeited in compliance with the terms of the relevant legal agreements
- Performs routine checks of Morgan Stanley data to ensure grants, dividends and forfeitures are correctly reflected in the system of record following triggering events, and works closely with Morgan Stanley to resolve issues, as needed.
- Assists in the monitoring of the Internal Stakeholder email box and responds to participant inquiries in a timely manner
- Works closely with other long-term incentive program team members (internal co-investment and carried interest allocations teams) to coordinate responses to stakeholders across all long-term incentive programs
- Aligns processes across all long-term incentive programs in various systems (i.e. CTR, Investran, Salesforce, C2DS, LP Connect, etc.)
- Other support as needed
Qualifications
- Bachelor’s degree required
- A minimum of 3 years in a support role, required
- Experience working for a fast-paced financial services company, preferred
- Equity compensation experience, a plus
- Proficient in Microsoft Office (Excel, Word, PowerPoint) and ability to learn and understand new technology and reporting tools
- Well organized with an efficient approach to record keeping
- Strong interpersonal skills
- Ability to work as part of a team and juggle multiple projects in a fast-paced environment
- Maintain confidentiality of all sensitive issues
- Self-starter with strong attention to detail
- Excellent communication skills (both oral and written)
- Ability to effectively prioritize assignments
- Trustworthy and has high integrity
- Comfortable interacting with other Analysts/Coordinators, Executive Assistants and Senior Leaders
