Position Summary
Responsibilities
- Assist with the structuring, formation, and ongoing governance of evergreen and semi-liquid private market vehicles.
- Advise on U.S. securities laws, regulatory requirements, and distribution considerations specific to wealth management platforms.
- Partner with fundraising and distribution teams to align liquidity mechanics and investor access with platform capabilities.
- Provide legal support for strategic product design, balancing commercial objectives with regulatory risk management.
- Collaborate with external counsel and service providers to manage documentation, disclosures, and investor communications.
- Act as a strategic communicator with internal stakeholders, offering clear guidance on complex fund structuring issues.
- Contribute to structuring and managing distribution partner agreements
Qualifications
- JD from a top-tier law school with strong academic performance
- 5+ years practicing private funds law, ideally from a top-tier law firm or a leading alternative asset manager.
- 2+ years removed from a corporate environment.
- Hands-on exposure to evergreen and semi-liquid fund structures strongly preferred.
- Strong working knowledge of U.S. fund formation, securities law, and regulatory considerations for private market products.
- Experience with the Securities Act of 1933 and the Investment Company Act of 1940
- Strong communication skills with the ability to partner across investment, fundraising, and structuring teams.
- Strategic, solutions-oriented, and adaptable to a fast-paced environment.
