About this role:

Wells Fargo is seeking a highly experienced and commercially minded attorney to join our Legal Department as Assistant General Counsel supporting the Equity Capital Markets (ECM) and Debt Capital Markets (DCM) businesses. This role will provide strategic legal advice and transactional support across a broad range of capital markets transactions, including IPOs, follow-on offerings, private placements, investment-grade and high-yield debt offerings, corporate share repurchases and liability management transactions.

In this role, you will:

  • Lead complex initiatives with broad impact and act as a key participant in large scale planning.
  • Handle matters that have a significant impact on the Company's operations, strategies, or profitability.
  • Review and analyze complex large scale or long-term challenges that require in-depth evaluation of multiple factors including intangibles or unprecedented factors
  • Serve as a trusted advisor to senior business leaders and contribute to strategic decision-making.
  • Develop and lead implementation of strategic business initiatives, and lead work team to meet deliverables and drive new initiatives.
  • Provide legal advice and support to ECM and DCM teams on a wide range of capital markets transactions.
  • Draft, review, and negotiate underwriting agreements, engagement letters, confidentiality agreements, and other transaction-related documentation.
  • Monitor and interpret legal and regulatory developments affecting capital markets and advise business partners accordingly.
  • Provide substantive legal advice on regulatory and compliance matters, including SEC, FINRA, NYSE/Nasdaq, and global securities laws and regulations.
  • Participate in industry efforts addressing emerging issues.
  • Participate in internal training and policy development initiatives related to capital markets legal issues.
  • Collaborate with internal stakeholders including Compliance, Risk, Investment Banking, and Syndicate to ensure legal and reputational risks are appropriately managed.
  • Develop relationships with and provide guidance to more experienced leadership, including executive officers, on issues that may present legal, regulatory, compliance, or reputational risk to the Company.
  • Partner with business leaders and management of other corporate departments to develop and implement risk management programs.
  • Lead projects, teams or serve as a peer mentor.

Required Qualifications:

  • 5+ years of Law experience, or equivalent demonstrated through one or a combination of the following: work experience, training, military experience, education
  • Active State Bar membership or the equivalent in a country outside the United States


Desired Qualifications:

  • 5+ years of experience as a practicing attorney at a law firm and/or in-house at a major financial institution
  • Deep knowledge of U.S. securities laws, including the Securities Act of 1933 and the Securities Exchange Act of 1934
  • Familiarity with FINRA rules and broker-dealer compliance
  • Experience working with or advising ECM/DCM desks at a global investment bank
  • Experience advising on IPOs, follow-ons, debt offerings, and private placements
  • Familiarity with cross-border capital markets transactions and jurisdiction-specific requirements and securities regulations is a plus
  • Demonstrated ability to collaborate effectively across teams and manage multiple priorities
  • Ability to focus on both detail and big-picture issues
  • Excellent drafting, negotiation, communication and interpersonal skills

  • Ability to work a hybrid schedule, in office at least 3 days a week

    Pay Range

    Reflected is the base pay range offered for this position. Pay may vary depending on factors including but not limited to achievements, skills, experience, or work location. The range listed is just one component of the compensation package offered to candidates.

    $144,400.00 - $300,000.00
